In regards to the exclusive where it says you cannot appear elsewhere without prior written consent of the Company, which consent may be withheld in the Company's sole discretion, It's not really that you can't do anything. It's just that you have to ask for their consent first to do something else. That does not mean they will automatically withhold their consent, they just want to be informed about it because they are concerned that your outside appearances will be competitive instead of a promotion of yourself and their product... and so, you may re-negotiate that, and ask for it to say such consent not to be unreasonably withheld or delayed. If you do so, then they would at least have to provide you with a reason for why that other appearance is being denied, and that denial would at least have to be for a reasonable reason. That's a little better than withheld in the Company's discretion, because that means they can withhold consent for any crazy reason or even for no reason. Sometimes, after you negotiate them to change it to such consent not to be unreasonably withheld or delayed, they might then ask to add, and in the event of a disagreement, the Company shall prevail to the end of that sentence. If they do, it once again strengthens their position, but at least you will still be able to have your voice in the discussion. When you include withheld in the Company's discretion in your contract, they can just say NO when you ask for consent to appear elsewhere, and even if it's going to be a mutually beneficial appearance, their NO is the end of the discussion. With the negotiated change included, there can at least be a reasonable discussion. You could say, hey, I think if I do this, it will help both of us, and here's why I think so... and that opportunity to communicate each party's reasons, pro-and-con, to each other would be contractually obligated.
